1. Agreement to these terms
By creating an account or using LateRiser ("the App," "we," "us"), provided by Spring Valley Group Limited (a Hong Kong company), you agree to these Terms of Use. If you don't agree, don't use the App.
2. Eligibility
You must be at least 16 years old to use the App. By using the App, you confirm you meet this requirement.
3. What the App is — and isn't
The App is a tool for groups of people who know each other to write down rules they agree to, track who breaks them, and settle it in a lighthearted way.
The App is not a legal contract and has no legal force. Nothing created within the App — rules, penalties, infraction logs, votes, disputes — creates a legally binding obligation between you and any other user, or between you and us. The App does not arbitrate, enforce, or guarantee anything created within it. It is entertainment and a social coordination tool, not a substitute for any real agreement, contract, or legal process.
The App never handles money. Any penalty logged in the App is settled between members entirely outside the App, on the honor system. You agree not to use the App to track real monetary debts, loans, wagers, or anything resembling gambling with real-money stakes.
4. Acceptable use
You agree not to use the App to:
- Target, harass, or apply consequences to anyone who is not a willing, informed, participating member of your group.
- Create or participate in a group involving a real power imbalance where consent may not be freely given (e.g. an employer over an employee, a parent exerting control over a child beyond normal household rules, or a partner using the App to isolate or control the other).
- Track, encourage, or require anything illegal.
- Harass, threaten, or abuse other users.
- Attempt to gain unauthorized access to other accounts, or interfere with the App's normal operation.
Members may always leave a group at any time.
5. Your content
You retain ownership of the content you create (rule text, group names, etc.). By posting content within a group, you grant other members of that group the ability to view it, consistent with how the App functions, and grant us the right to store and process it in order to operate the App. We may remove content or suspend accounts that violate these Terms, including in response to reports from other users.
6. Reporting and enforcement
If another user violates these Terms, you can report it in-app (see report/block feature). We may investigate, warn, suspend, or terminate accounts at our discretion. We're not obligated to take a specific action on any report, but we'll use reasonable judgment.
7. Subscriptions (when active)
Some features may require a paid subscription, billed on a recurring basis (monthly or discounted annual) through the Apple App Store or Google Play. Subscription payments are processed by Apple/Google (and RevenueCat, our subscription-management provider) — we do not receive or store your payment card details. Subscriptions renew automatically unless cancelled through your Apple/Google account settings before the renewal date. Pricing and any free-tier limits are shown in-app before purchase. This section takes effect once subscriptions are enabled; the App may be entirely free to use before then.
8. Disclaimers
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE APP, AND ANY RULES/PENALTIES CREATED WITHIN IT, AT YOUR OWN RISK AND DISCRETION.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRING VALLEY GROUP LIMITED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING ANY DISPUTE, PENALTY, OR CONSEQUENCE ARISING BETWEEN USERS OUTSIDE THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
10. Termination
You may stop using the App and delete your account at any time (see Privacy Policy for how). We may suspend or terminate your access if you violate these Terms.
11. Changes to these terms
We may update these Terms as the App changes. We'll update the "Last updated" date above; material changes will be flagged in-app.
12. Governing law and dispute resolution
These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles.
If any dispute arises out of or relating to these Terms or your use of the App, the parties agree to first try in good faith to resolve it amicably through direct negotiation, continuing to negotiate in good faith throughout that process. If the dispute is not resolved amicably within 60 days of one party first notifying the other of the dispute in writing, it will be finally resolved by private arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time, seated in Hong Kong, before a single arbitrator, conducted in English. The arbitration award will be final and binding on both parties. Nothing in this section prevents either party from seeking urgent interim relief (e.g. an injunction) from a court where necessary to protect its rights before or during arbitration.
